These Terms of Service ("Terms") govern your access to and use of the Numly platform ("Platform"), operated by Numly ("Numly", "we", "our", "us"), an Australian business. By creating an account or using any part of the Platform, you agree to be bound by these Terms.
If you are under 16 years of age, a parent, guardian, or authorised school representative must agree to these Terms on your behalf.
If you do not agree to these Terms, you must not access or use the Platform.

To access the Platform, you must create an account with accurate and complete information. You are responsible for:
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
You agree to use the Platform only for its intended educational purpose. You must not:
Violation of these rules may result in immediate account suspension or termination without refund.
Numly offers paid subscription plans on a monthly or annual billing cycle. Details of available plans and pricing are displayed on the Platform at the time of purchase. All prices are in Australian Dollars (AUD) and include GST where applicable.
New individual accounts may receive a 7-day free trial. At the end of the trial period, your subscription will automatically begin and your nominated payment method will be charged unless you cancel before the trial expires.
All payments are processed securely by Stripe. Numly does not receive, store, or have access to your payment card details. By subscribing, you agree to Stripe's Terms of Service.
Subscriptions renew automatically at the end of each billing cycle (monthly or annually) at the then-current price. We will notify you of any price changes at least 30 days before they take effect.
You may cancel your subscription at any time through your account dashboard or by contacting info@numly.com.au. Upon cancellation:
No refunds are provided for partial months or partial annual periods. If you cancel during a billing cycle, you retain access until the end of that cycle but will not receive a pro-rata refund for the unused portion.
Exceptions may be considered on a case-by-case basis at our sole discretion in the following circumstances:

School licences are sold on a per-student seat basis. The number of active student accounts under a school licence must not exceed the number of seats purchased. The school administrator or designated teacher is responsible for managing seat allocations.
Each school is issued a unique School Code for student and teacher onboarding. The School Code:
Teachers and school administrators who manage student accounts are responsible for:
School licences are issued for a defined period (typically one calendar year or one school year). Upon expiry, access for all accounts under that licence will be suspended unless the licence is renewed. Student learning data is retained for 90 days after licence expiry, after which it may be deleted in accordance with our Privacy Policy.
All content on the Platform — including but not limited to lessons, questions, worked examples, slide decks, interactive tools, graphics, illustrations, mascot designs, brand assets, software code, and user interface designs — is the exclusive intellectual property of Numly or its licensors and is protected by Australian and international copyright, trademark, and intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for personal or classroom educational purposes. You may not:
Classroom printing exception: Teachers with an active subscription may print individual module worksheets (via the built-in PDF function) for distribution to their enrolled students. This permission does not extend to bulk reproduction, digital redistribution, or sharing with students outside the teacher's own classes.
All trademarks, service marks, logos, and trade names displayed on the Platform are the property of Numly. Nothing in these Terms grants you any right to use any trademark, service mark, logo, or trade name of Numly.
Numly is a supplementary education tool designed to support and reinforce mathematics learning. It is not a substitute for qualified teacher instruction, professional tutoring, or school curriculum delivery. Educational outcomes depend on many factors beyond the scope of this Platform, and we make no guarantees regarding academic performance or results.
We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted, error-free, or secure access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
To the maximum extent permitted by Australian law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010):
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. If our services come with guarantees that cannot be excluded under the Australian Consumer Law, our liability for failure to comply with any such guarantee is limited to the re-supply of the services or payment of the cost of having the services re-supplied.
We may suspend or terminate your account at any time if:
If we terminate your account due to a breach of these Terms, no refund will be provided. If we terminate your account for reasons other than a breach, we will provide a pro-rata refund for any unused portion of a pre-paid annual subscription.
You may terminate your account at any time by cancelling your subscription and contacting info@numly.com.au to request account deletion.
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Platform at least 30 days before the changes take effect.
The "Last updated" date at the top of this page indicates when the Terms were most recently revised. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Platform and cancel your subscription.
These Terms are governed by and construed in accordance with the laws of Western Australia, Australia. You agree to submit to the exclusive jurisdiction of the courts of Western Australia for the resolution of any disputes arising from or relating to these Terms or your use of the Platform.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
